Terms of Service

Welcome to Louisville Web Guy. These Terms of Service ("Terms") govern your use of my website design and hosting services. By engaging my services, you agree to be bound by these Terms.

1. Services Overview

Louisville Web Guy provides website design, development, and hosting services for small businesses. My standard service includes:

• Custom website design and development
• Mobile-responsive design
• Website hosting and maintenance
• SSL certificate (security)
• Basic search engine optimization (SEO)
• Ongoing support and updates

2. Pricing and Payment

Build Fee: You choose how to pay a build fee, and your agreement states the option and schedule:

• In full before work begins
• 50% before work begins and 50% at launch
• In monthly payments alongside your monthly plan

Monthly payments change when the build fee is paid, not its total. You own the custom design once the build fee is paid in full.

Monthly Plans: Every monthly plan is billed once a month on the date set in your agreement. The first month may be prorated.

Payment Methods: I accept credit cards, debit cards, ACH bank transfers, and checks.

Late Payments: Invoices not paid within 15 days of the due date may result in website suspension until payment is received.

3. Project Timeline and Process

My typical website build process:

• Kickoff: Initial consultation and content gathering
• Design: I create your custom website design
• Review: You review and request revisions (up to 2 rounds included)
• Launch: Final approval and website goes live

I build most websites in 1–2 weeks once content is in, then take them live in 2–3. Timing depends on how quickly you provide content and feedback.

4. Client Responsibilities

To ensure timely project completion, you agree to:

• Provide all necessary content (text, images, logos) in a timely manner
• Respond to requests for feedback within 5 business days
• Provide accurate business information
• Review and approve the website before launch
• Maintain current payment information for monthly billing

Projects delayed more than 30 days due to client non-responsiveness may be subject to a restart fee.

5. Revisions and Changes

During Build: Your build fee includes up to 2 rounds of revisions during the initial design phase.

After Launch: Minor content updates (text changes, image swaps, contact info updates) are included in your monthly plan, within that plan's limits. Major changes (new pages, redesigns, added functionality) may incur additional fees, quoted in advance.

6. Intellectual Property

Your Content: You retain ownership of all content you provide (text, images, logos, etc.). You represent that you have the right to use all content provided.

Website Design: Upon full payment, you own your custom website design and content. I retain the right to display the website in my portfolio unless you request otherwise in writing.

Third-Party Assets: Stock photos, fonts, and other third-party assets used in your website are subject to their respective licenses. I only use assets that permit commercial use.

Code and Framework: You own your content, your domain and your site's design. I keep my reusable code toolkit (the libraries and build tools I use for every client), and you get a permanent license to use it as part of your site.

7. Hosting and Maintenance

What your monthly plan includes depends on the plan you choose. Each plan's inclusions are listed on my website packages and pricing page and my services page, and in your written quote. Depending on your plan, this can include:

• Secure, reliable website hosting
• SSL certificate maintenance
• Annual domain renewal, for a domain I registered for you
• Regular backups
• Security updates and a monthly site check
• Minor content updates
• Google Business Profile management
• Monthly SEO work and reporting
• Technical support via phone, email, or text

I target 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance when possible.

8. Domain Names

Your domain name is registered in your name and it stays yours. If I registered it for you, the annual renewal is included while you are on a monthly plan. I pay it and keep it current so it never lapses. If you already owned your domain, you keep renewing it yourself.

• If you already own a domain, I use it. You keep the registrar login and the renewal. I ask only for DNS access.
• If I register a new domain for you, it is registered in your name from day one, and I renew it while you are on a plan.
• If you cancel, the domain remains yours. From your next renewal date, renewal becomes your responsibility.
• Keep your registrar contact details accurate so renewal and transfer notices reach you.

Domain setup, DNS changes, and transfer help are included at no additional charge.

9. Termination

By You: You may cancel a monthly plan at any time with 30 days written notice. No refunds are provided for partial months or for build work already done. If you are paying a build fee in monthly payments, the remaining build balance is due when the plan ends.

By Me: I reserve the right to terminate services for:

• Non-payment (after 30 days past due)
• Violation of these Terms
• Use of the website for illegal or harmful purposes
• Abusive or harassing behavior

After Termination: Upon termination, I will provide you with a copy of your website files upon request. I am not obligated to maintain or host your website after termination.

10. Website Transfer

If you wish to transfer your website to another hosting provider:

• All outstanding invoices must be paid in full
• I will provide website files in a standard format
• A transfer assistance may be quoted separately for expedited transfers or technical assistance
• I am not responsible for website functionality after transfer to another provider

11. Limitation of Liability

To the maximum extent permitted by law:

• My total liability for any claim related to my services shall not exceed the total fees paid by you in the 12 months preceding the claim
• I am not liable for indirect, incidental, special, or consequential damages
• I am not liable for lost profits, lost data, or business interruption
• I am not liable for any third-party claims against you

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

12. Disclaimer of Warranties

My services are provided "as is" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

I do not guarantee that my services will:

• Generate any specific amount of traffic, leads, or sales
• Achieve any particular search engine ranking
• Be error-free or uninterrupted
• Meet all of your requirements or expectations

13. Indemnification

You agree to indemnify and hold harmless Louisville Web Guy from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:

• Your use of my services
• Content you provide for the website
• Your violation of these Terms
• Your violation of any third-party rights

14. Acceptable Use

You agree not to use my services for websites that:

• Contain illegal content or promote illegal activities
• Infringe on intellectual property rights
• Contain malware, viruses, or harmful code
• Engage in spam, phishing, or fraudulent activities
• Contain hate speech or content promoting violence
• Violate any applicable laws or regulations

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Kentucky, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Jefferson County, Kentucky.

16. Changes to Terms

I reserve the right to modify these Terms at any time. Changes will be effective upon posting to this page. Your continued use of my services after changes constitutes acceptance of the modified Terms. I will make reasonable efforts to notify active clients of significant changes.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

18. Entire Agreement

These Terms, together with any written service agreement or quote you have signed, constitute the entire agreement between you and Louisville Web Guy regarding my services. In case of conflict, a signed service agreement takes precedence over these Terms.
